Our client is a major company in Antwerp listed on both NYSE and Euronext. It is looking for a legal interim manager with corporate/commercial law specialisation to assist 3 days/week until the end of the year with both general corporate/commercial in-house advising as well as corporate secretarial duties.

As legal interim manager, you will be required to advise on both corporate/commercial law matters as well as on financing issues. In particular, you will:

• be drafting, reviewing and/or negotiating commercial agreements of all kinds, including public or private M&A;
• be drafting, reviewing and/or negotiating both public as well as private financings, debt or equity linked;
• be conducting research and/or provide legal analysis on corporate/commercial legal matters, including GDPR;
• generally advising on all corporate and business law issues

Besides the more general corporate/commercial and financing advising, your assistance will also be required within a company secretarial role, in which you will be required to assist:

• with the design and implementation of all necessary policies and procedures to ensure that the company complies with its articles of association and its statutory obligations and in particular those governing its operation locally and as a listed company on both Euronext and NYSE;
• with the organisation of supervisory board, of the management board as well as of the shareholders’ meetings;
• general corporate administration of group companies

• You are the holder of a Master in Law delivered by a Belgian university;
• You have at least 5y experience as corporate secretary or in-house counsel with a specialisation in corporate law in a multinational, preferably listed, or as attorney in an international business law firm;
• You speak fluent Dutch and English.
